There is an undisclosed floating sum of $65 million in an ERHC suspense account apparently from an auditing oversight. This fund has been there since 2007 obviously from undeclared proceeds in the June 2005 five offshore oil blocks in the joint development zone between Nigeria and Sao Tome and Príncipe finally awarded to ERHC. In Block 2, a consortium of ERHC, Devon and Pioneer consortium was awarded a 65 percent interest and was designated the block's operator. Also in Block 4, a consortium of ERHC and Noble was awarded 60 percent interest and operatorship of the acreage.

The audit committee have moved a motion that have led the board of directors to agree for an investor that can raise $50 million for the company to take 90% of its preferred stock, common stock and warrants, or units consisting of any combination thereof. This favors the company compared to selling out entirely 100% of its preferred stock, common stock and warrants, or units consisting of any combination thereof to the public.
